I warrant that I am the sole owner of all Intellectual Property rights in both the master recording and the underlying musical composition, or I have obtained express written authorisation from all relevant third-party rights holders to enter into this agreement.
As a member of APRA AMCOS, I warrant that I have retained the right to issue direct non-exclusive licences for the underlying musical composition. I warrant that I hold the necessary rights to grant this direct licence for the use of the composition, and doing so does not conflict with any third-party agreements.
I hereby grant the Licensee a non-exclusive, world-wide, royalty-free, direct licence to communicate to the public, broadcast, and transmit the musical work and associated master recording (the "Track") for on-demand purposes. These plays will not be reported to APRA AMCOS or PPCA.
I grant the Licensee the right to use my artist name, biography, and press photos to promote my music and the Licensee's services, including the right to announce, schedule, and promote the broadcast of the Track in advance of its transmission.
I agree to indemnify and hold harmless the Licensee against any claims, losses, or expenses arising from a breach of the warranties above.
